Terms of Service

These terms of service, together with any documents and additional terms they incorporate by reference (collectively, these “Terms”), are entered into between the operators of Arc (“Arc”, “we”, “us”, and “our”) and you or the company or other legal entity that you represent (“you” and “your”).

These Terms, together with any Modifications (defined below), and our Privacy Policy, set out the terms on which we offer you access to and use of (a) the websites located at archoops.org (including this Help Centre) and related Arc properties such as this Help Centre (the “Site”) and (b) the Arc mobile applications and any other applications, tools, or services that reference these Terms, including smart-contract interactions facilitated through Arc (collectively, the “Services”).

Arc is a crypto social trading product for basketball culture. It is not a sportsbook, fantasy contest operator, or gambling service. Player coins and run coins are on-chain digital assets; they are not bets on game outcomes.

BY USING OR ACCESSING THE SERVICES IN ANY MANNER, YOU AGREE TO THESE TERMS. If you do not agree, do not use the Services.

ARBITRATION NOTICE. Except for certain kinds of disputes described in Dispute Resolution, you agree that disputes arising under these Terms will be resolved by binding, individual arbitration, and you waive the right to a jury trial or to participate in a class action to the fullest extent permitted by law.

1. General

Arc is not a wallet provider, exchange, broker, dealer, financial institution, payments processor, money services business, or creditor. Arc provides software that helps users discover and interact with each other and with tokens available on public blockchains (primarily Base). We do not have custody or control over the tokens or blockchains you interact with, and we do not execute purchases or sales as your broker. To use our Services you must use a compatible third-party or embedded self-custodial wallet.

We may revise these Terms by posting an updated version (the “Modifications”). Changes become effective when posted. Continued use of the Services after Modifications means you accept them. It is your responsibility to review these Terms periodically.

2. Eligibility

You must be at least 18 years of age to use the Services. By agreeing to these Terms you represent that: (i) you are at least 18; (ii) you have not been suspended or removed from the Services; (iii) your use complies with applicable law; and (iv) if you accept on behalf of an entity, you have authority to bind that entity.

You further represent that you are not located in, ordinarily resident in, or organized under the laws of an embargoed jurisdiction; are not subject to applicable sanctions; and will not use the Services for the benefit of sanctioned persons or jurisdictions.

3. Access to Our Services

A compatible blockchain wallet (a “Wallet”) is required to access many features. Your account on the Services (your “Account”) may be associated with the wallet address and authentication methods you use (including Apple / social login via our identity providers). Profile information you add may be publicly displayed.

We may restrict, suspend, or terminate access without prior notice to comply with law, protect users, or enforce these Terms. We may request additional information where required by law or risk controls. Access may be interrupted for maintenance, outages, or other reasons.

4. Wallets

4.1 Your Wallet. By connecting a Wallet to the Services, you agree to the terms of the applicable Wallet provider. We do not custody your assets and are not a party to your on-chain transactions. You are solely responsible for securing credentials, passkeys, private keys, and recovery materials.

4.2 Privy / embedded wallets. Arc may partner with Privy or similar providers so you can create a self-custodial Wallet accessed through the Services. Use of such Wallets is also subject to the provider’s terms (for example, Privy’s Terms). Only you can authorize transactions. Arc does not store your seed phrase or private keys.

4.3 Assistance. If you notice unauthorized activity, contact us at Hello@noemtech.com. We have no obligation to recover lost keys or reverse blockchain transactions.

5. Services and Arc Coins

5.1 Token creation and trading. The Services may allow you to (i) create or interact with ERC-20 tokens associated with a creator/player profile (“creator coins”) or a completed run / game (“run coins”), and (ii) buy or sell such tokens using USDC or other supported assets on Base. Tokens created through Arc’s factory contracts typically have a fixed supply of 1,000,000,000 units. Smart contracts, once deployed, generally cannot be altered by Arc or creators.

5.2 Not gambling. Arc does not offer wagers, odds, pari-mutuel pools, or settlement of sports bets. Market activity around player or run coins is peer-to-peer digital asset trading / social trading infrastructure, not a bet on match outcomes.

5.3 Peer-to-peer; no endorsement. Transactions are peer-to-peer or via protocol / treasury mechanisms we disclose in-product. Arc is not a counterparty to your trades and does not guarantee price, liquidity, or market performance. Visibility or ranking of a coin is not an endorsement.

5.4 Fees. Blockchain gas fees are your responsibility. Arc may charge a platform fee on certain trades; applicable fees will be disclosed before you confirm a transaction in the app. We may change fees prospectively.

5.5 Liquidity and settlement. Trades may settle against AMM pools, treasury liquidity, or other mechanisms described in the product. Settlement depends on network conditions, quotes, and wallet authorization. Failed or pending transactions may not complete.

5.6 Supported assets. Supported networks, tokens, and payment rails (including fiat onramps) may change without notice. Existing support does not guarantee continued support.

6. Digital Assets

You are solely responsible for evaluating legitimacy, authenticity, and legality of any tokens or content you interact with. Tokens are not legal tender, are not FDIC/SIPC insured, and are not intended as equity or a profit-sharing interest in Arc. Values can go to zero. Transactions on public blockchains are generally final, non-refundable, and non-reversible.

TOKENS ARE INTENDED FOR CONSUMER ENJOYMENT, USE, AND CONSUMPTION IN CONNECTION WITH THE SERVICES. THEY ARE NOT OFFERED AS INVESTMENT CONTRACTS. YOU REPRESENT THAT YOU ARE NOT ACQUIRING TOKENS SOLELY FOR SPECULATIVE INVESTMENT IN ARC OR ANY CREATOR AS AN EQUITY INTEREST.

7. Ownership; Proprietary Rights

Arc and its licensors own the Services software, branding, and related intellectual property (excluding User Content and public blockchain data). Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.

8. User Content

You retain rights in content you submit (profiles, posts, comments, media, messages) (“User Content”). You grant Arc a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute User Content as needed to operate and improve the Services. You represent you have rights to the User Content you submit and that it does not infringe others’ rights or violate law.

Some information related to tokens and activity may be recorded on public blockchains and cannot be edited or deleted by Arc.

9. Prohibited Activities

You agree not to:

  • Violate law, including sanctions, AML, or securities laws;
  • Use Arc as a sportsbook, to settle wagers, or to market gambling;
  • Manipulate markets, wash trade, or deceive others about token value or provenance;
  • Infringe IP, privacy, or publicity rights;
  • Upload malware, scrape abusively, or attack the Services;
  • Impersonate others or misrepresent affiliation with Arc;
  • Bypass access controls, rate limits, or fee disclosure;
  • Harass, exploit minors, or post illegal content.

10. Third-Party Items

The Services may depend on third parties (e.g., Privy, Supabase, Coinbase Onramp, Base, RPC providers, app stores). Third-party terms and privacy policies apply to those services. Arc is not responsible for third-party outages or policies.

11. Privacy Policy

Our Privacy Policy explains how we collect and use personal information. By using the Services you acknowledge that policy.

12. Intellectual Property

If you believe content on the Services infringes your copyright, contact Hello@noemtech.com with sufficient detail for us to investigate. We may remove or disable access to allegedly infringing material.

13. Indemnification

You will indemnify and hold harmless Arc and its affiliates, officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your User Content, your use of the Services, your tokens or trades, or your violation of these Terms or applicable law.

14. Disclaimers; No Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, ARC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, OR THAT TOKENS OR CONTENT ARE ACCURATE, LEGITIMATE, OR VALUABLE.

15. Assumption of Risk

You acknowledge risks including, without limitation:

  • Extreme price volatility and loss of principal;
  • Smart contract bugs, exploits, or irreversible transactions;
  • Wallet compromise or lost credentials;
  • Regulatory changes affecting tokens or the Services;
  • Liquidity shortfalls, failed swaps, or oracle/quote errors;
  • Public blockchain transparency of addresses and transfers.

You assume these risks and are responsible for your own decisions.

16. Limitations of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ARC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. ARC’S AGGREGATE LIABILITY ARISING OUT OF THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ARC FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the maximum extent permitted.

17. Dispute Resolution; Binding Arbitration

Except for disputes that may be brought in small-claims court or claims for injunctive relief regarding intellectual property, any dispute arising out of these Terms or the Services will be resolved by binding arbitration on an individual basis, administered under the rules of a recognized arbitration body in the forum described in Governing Law. You and Arc waive class actions and jury trials to the fullest extent permitted by law. You may opt out of arbitration within 30 days of first accepting these Terms by emailing Hello@noemtech.com with your name, wallet/account identifier, and a clear statement that you opt out of arbitration.

18. Governing Law

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules, unless mandatory consumer protections in your jurisdiction require otherwise.

19. Term and Termination

These Terms apply while you access the Services. We may suspend or terminate access at any time. You may stop using the Services at any time. Provisions that by their nature should survive (including ownership, disclaimers, indemnity, limitations, and dispute resolution) will survive termination.

20. Miscellaneous

If any provision is unenforceable, the remainder stays in effect. These Terms are the entire agreement between you and Arc regarding the Services and supersede prior agreements on the same subject. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. No waiver is effective unless in writing.
